Terms of Service

1. Acceptance of Terms

BY ACCESSING OR USING AGRSTAK, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

These Terms of Service ("Terms") constitute a legally binding agreement between you and NumeriXGPT LLC ("we," "us," "our"), a Georgia Limited Liability Company, governing your access to and use of the AgrStak platform, including all calculator storefronts, the AgrStak Chat Widget (ACW), and related services hosted at numerixgpt.com and associated domains (collectively, the "Platform").

These Terms replace and supersede the prior Terms of Service dated December 2024. If you are an institutional partner, your use is also governed by your executed Data Sharing Agreement (DSA), which supplements these Terms.

2. Description of Service

AgrStak is an AI-powered agricultural decision support platform operated by NumeriXGPT LLC. The Platform transforms USDA agricultural research into accessible calculator tools for farmers, researchers, and agricultural professionals.

The Platform currently includes:

• 431 agricultural calculator models across 14 specialized categories, built on USDA-ARS research
• 14 calculator storefronts covering domains including soil science, plant breeding, animal science, food science, nutrition, and agricultural economics
• AgrStak Chat Widget (ACW) — an AI-powered assistant on each calculator page, powered by the Anthropic Claude API
• Research model registry — traceable sourcing and versioning for all calculator models
• Institutional partnership services — data sharing and model development for USDA research institutions and extension services

3. Accounts & Access

3.1 Account Creation

Some features of AgrStak may require you to create an account. When creating an account you agree to: (a) provide accurate and complete information; (b) maintain the security of your password; (c) promptly update your account information if it changes; and (d) accept responsibility for all activity that occurs under your account.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at [email protected] if you believe your account has been compromised. We are not liable for losses caused by unauthorized use of your account.

3.3 Eligibility

You must be at least 18 years of age to create an account or use AgrStak services. By using the Platform you represent that you meet this requirement. AgrStak is designed for agricultural professionals, researchers, and producers — not for general consumer use.

4. Acceptable Use

You agree to use AgrStak only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable federal, state, or local law
• Attempt to gain unauthorized access to any portion of the Platform, its servers, or related systems
• Use automated tools, bots, scrapers, or crawlers to extract data from AgrStak calculators or model outputs at scale
• Reverse engineer, decompile, or attempt to derive the source code, algorithms, or underlying models of the Platform
• Reproduce, distribute, or commercialize AgrStak's calculator models, outputs, or methodology without express written permission
• Misrepresent AgrStak outputs as definitive scientific conclusions or professional agronomic advice
• Use the Platform to develop competing products or services during the Term and for two (2) years following termination
• Transmit through the Platform any content that is unlawful, harmful, fraudulent, or violates the rights of others
• Interfere with or disrupt the integrity or performance of the Platform

We reserve the right to suspend or terminate access to any user who violates these acceptable use provisions, with or without notice.

5. Calculator Tools & Research Models

5.1 Nature of Calculator Outputs

AgrStak's 431 calculator models are built on published USDA agricultural research. All outputs are intended as decision support tools only. They are not a substitute for professional agronomic advice, soil testing, extension services, or qualified expert consultation.

5.2 Accuracy & Model Updates

While we strive to keep all models current with the latest USDA research, agricultural science evolves and models may not reflect the most recent findings at all times. We maintain a versioning and validation cycle for all models but cannot guarantee that outputs will be accurate for every specific geographic, soil, crop, or climate condition.

5.3 Calculator Input Data

Input values you enter into AgrStak calculators are processed in your browser session and are never stored on AgrStak servers. See our Privacy Policy for full details. You are responsible for the accuracy of data you input into calculators.

5.4 Export & Use of Outputs

You may export and use calculator outputs for your own farm management, research, or educational purposes. Any publication, commercial use, or redistribution of AgrStak outputs must include attribution to AgrStak and the underlying USDA research source. You may not commercialize AgrStak outputs without a separate written licensing agreement.

6. AI & Chat Feature Terms

6.1 AI-Powered Assistance

The AgrStak Chat Widget (ACW) is powered by the Anthropic Claude API. By using the chat feature, you acknowledge that your messages are processed by Anthropic's systems, subject to Anthropic's Terms of Service and Privacy Policy.

6.2 AI Output Limitations

AI-generated responses from the ACW are provided for informational and guidance purposes only. You agree that:

• AI outputs may contain errors, inaccuracies, or omissions and should be independently verified
• AgrStak is not responsible for decisions made based on AI chat outputs
• AI responses do not constitute professional agronomic, legal, financial, or medical advice
• You will not rely solely on AI outputs for significant farm management or financial decisions

6.3 Prohibited Chat Uses

You agree not to use the ACW to:

• Attempt to extract, reverse engineer, or probe the underlying AI model or its training data
• Submit personally identifiable information, financial data, or other sensitive personal details
• Generate content unrelated to agricultural decision support
• Attempt to circumvent, manipulate, or jailbreak the AI system

7. Intellectual Property

7.1 AgrStak IP

The AgrStak Platform, including its design, code, calculator models, methodology for translating USDA research into AI-powered decision tools, the AgrStak brand, and all related content are owned by NumeriXGPT LLC and are protected by United States and international intellectual property laws. AgrStak's translation methodology is patent pending.

7.2 USDA Research Attribution

AgrStak's calculator models are derived from publicly available USDA-ARS research publications. Attribution to source USDA publications is maintained in our model registry. USDA research content remains the property of the United States Government and is subject to applicable federal intellectual property laws.

7.3 License to Use

Subject to these Terms, NumeriXGPT LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the AgrStak Platform solely for your personal or internal organizational agricultural decision support purposes. This license does not include the right to: (a) sublicense; (b) modify or create derivative works; (c) publicly display or perform Platform content; or (d) use the Platform for commercial data resale.

7.4 Feedback

If you submit suggestions, ideas, or feedback about AgrStak ("Feedback"), you grant NumeriXGPT LLC an unrestricted, royalty-free, perpetual license to use that Feedback to improve the Platform without obligation to compensate you.

8. User Content

AgrStak does not currently provide user-generated content features such as public forums, shared model libraries, or community contributions. If such features are added in the future, separate terms governing user content will be provided.

Calculator inputs you enter are ephemeral and are not stored or shared. See Section 5.3 and our Privacy Policy for details.

9. Institutional Partner Terms

If you are accessing AgrStak as a representative of a USDA research institution, land-grant university, cooperative extension service, or other institutional partner, the following additional terms apply:

• Your institution's use is governed by an executed Data Sharing Agreement (DSA), which supplements these Terms. In the event of conflict between these Terms and the DSA, the DSA controls.
• You represent that you have authority to bind your institution to these Terms and the applicable DSA.
• Institutional data shared with AgrStak under a DSA is subject to the data handling standards described in our Data Governance Framework.
• The non-compete provision in Section 4 (Acceptable Use) applies to all institutional partners and their affiliated researchers during the Term and for two (2) years post-termination.
• Attribution requirements for publications and presentations are governed by Article VIII of the applicable DSA.

10. Fees & Subscriptions

10.1 Free Access

Certain AgrStak calculators and features are available at no charge. Free access may be subject to usage limits and may be modified or discontinued at any time.

10.2 Paid Subscriptions

AgrStak offers paid subscription tiers for enhanced access. Subscription fees, billing cycles, and included features are described on our pricing page. By subscribing you authorize us to charge your payment method on a recurring basis for the applicable subscription fee.

10.3 Cancellation & Refunds

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods except where required by law.

10.4 Price Changes

We may change subscription pricing with at least 30 days' written notice to active subscribers. Continued use after the notice period constitutes acceptance of the new pricing.

11. Disclaimers

THE AGRSTAK PLATFORM AND ALL CALCULATOR OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

Specifically, NumeriXGPT LLC does not warrant that:

• Calculator outputs will be accurate, complete, or suitable for your specific agricultural conditions
• The Platform will be uninterrupted, error-free, or free of viruses or other harmful components
• AI-generated chat responses will be accurate or free of errors
• USDA research models underlying the calculators reflect the most current scientific understanding at all times
• The Platform will meet your specific requirements or expectations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUMERIXGPT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF AGRSTAK, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, CROP LOSSES, FARM REVENUE LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF NUMERIXGPT LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NumeriXGPT LLC's total cumulative liability to you for any claims arising out of or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total fees you paid to AgrStak in the twelve (12) months preceding the claim; or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless NumeriXGPT LLC, its members, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the AgrStak Platform
• Your violation of any third party's rights, including intellectual property rights
• Any agricultural, financial, or operational decisions made based on AgrStak calculator outputs
• Your violation of any applicable law or regulation

14. Termination

14.1 Termination by You

You may stop using AgrStak at any time. To close a paid account and cancel your subscription, follow the cancellation process in your account settings or contact us at [email protected].

14.2 Termination by AgrStak

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including for violation of these Terms, non-payment of fees, or if we reasonably believe your use creates legal or security risk. We will attempt to provide advance notice where practicable.

14.3 Effect of Termination

Upon termination: (a) your license to use the Platform immediately ends; (b) you must cease all use of AgrStak and promptly destroy any downloaded or exported Platform content in your possession; and (c) provisions that by their nature should survive termination — including Sections 7, 11, 12, 13, 15, and the non-compete in Section 4 — shall survive.

15. Disputes & Governing Law

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

15.2 Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days. If negotiation fails, disputes shall be submitted to non-binding mediation before a mutually agreed mediator in Georgia before either party may initiate litigation.

15.3 Jurisdiction & Venue

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Fulton County, Georgia. You consent to personal jurisdiction and venue in those courts.

15.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.5 Time Limitation

Any claim arising from your use of AgrStak must be brought within one (1) year of the date the claim arose, regardless of any statute of limitations to the contrary.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes we will:

• Update the "Last Updated" date at the top of this page
• Post a notice on numerixgpt.com for at least 30 days
• Send email notification to registered users for significant changes

Your continued use of AgrStak after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to updated Terms, you must discontinue use of the Platform.

Previous version: Version 1.0, December 2024 — governed pre-launch waitlist only, described NumeriXGPT as an "AI-powered numerical computing platform in pre-launch development." Available upon request.
